Fiona M. Ellis’ practice emphasizes business transactions, contracts, business sales and acquisitions, corporations and limited liability entities, and aspects of civil litigation. Many of her clients are the owners of successful and established family-owned companies.

Ms. Ellis has over 20 years of experience in mergers and acquisitions, representing buyers and sellers engaged in a wide variety of business activities. In these transactions, Ms. Ellis works closely with accountants, business brokers, and other professionals to ensure that all aspects of her clients’ goals are addressed.

Ms. Ellis regularly assists clients with the negotiation and drafting of business contracts, including agreements for the sale of goods and services, asset and stock purchase agreements, licensing agreements, employment and consulting agreements, covenants not to compete, confidentiality agreements, real estate purchase and lease agreements, promissory notes and security agreements, shareholder/buy-sell agreements, stock options, corporate bylaws, LLC operating agreements, and many other types of legal documents.

For clients embarking on new business ventures, Ms. Ellis provides advice and guidance on the effective use of corporations, LLCs and other limited liability entities. From the time of formation of a new company and throughout all stages of its existence, Ms. Ellis assists her clients in complying with state laws relating to the formalities of maintaining the legal entity, including documentation of stock transfers, changes in ownership, changes in management, shareholder loans and other important internal matters.

Ms. Ellis has also participated in the firm’s successful representation of numerous clients in litigation. As a member of the firm’s litigation team, Ms. Ellis regularly drafts formal briefs, pleadings and motions dealing with intricate legal issues. Her expertise, skill and thoroughness in analyzing complex subject matter and advocating effectively on behalf of our clients have played a key role in the resolution of many cases, both at trial and during the pre-trial stages of litigation.

Born in Limerick, Ireland, Ms. Ellis grew up in Canada, at times living in some remote but beautiful regions of the far north. Her appreciation for the outdoors ultimately led her to make her home in Colorado, where she enjoys a number of activities such as skiing, mountain biking, tennis and soccer. She is also an avid traveler and a fan of classic literature.
